Terms for Web Design and Development

The following terms and conditions apply to all website development / design services provided by Agnieszka Kogus to the Client.

Before the Work

1. A specification is agreed before any work on a project starts.

2. A full specification would need all the website content plus functionality agreed. If there is a need for design then estimate on those can be provided as well.

3. After a specification is done, a price and estimated start and completion date will be provided to the client.

Payments and Deposit

1. After a price is agreed, a 33% deposit will be invoiced; it must be paid and cleared before any work starts.

2. The remaining 67% will be invoiced after the project is complete.

3. The deposit is only refundable if no work starts.

The Project

1. I will make every effort to meet the agreed completion date. Sometimes, circumstances change so I will make sure you know about it a head of a time.

2. Any requests for extra work or changes to the project must be supplied in writing for example, email, text, etc.

3. I will provide the Client with an opportunity to review the appearance and content of the website during the design phase and once the overall website development is completed.

4.Client agrees that Agnieszka Kogus cannot guarantee correct functionality with all browser software across different operating systems.

Web Hosting and Domain Names

1. Web hosting is payable yearly in advance. No refunds are given. If the payment isn't made on time the website will be suspended.

2. Domain names are purchased on your behalf and you own the name.

Payment Terms

1. I ask for payment within 7 days for completed web design projects.

2. Paying the first 33% deposit and paying for smaller jobs acts as an agreement for the above terms.

Copyright

1. The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Agnieszka Kogus the rights to publish and use such material.

2. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party.

Indemnity

1. The Client is further responsible for granting Agnieszka Kogus permission and rights for use of the same and agrees to indemnify and hold harmless Agnieszka Kogus from any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions.

2. Evidence of permissions and authorities may be requested.

Termination

1. Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice.

2. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing.

3. The Client will be invoiced for design work completed to the date of first notice of cancellation for payment in full within 7 days.

Design Credit

1. A link to Agnieszka Kogus's website will appear in either small type or by a small graphic at the bottom of the Client's website.

2. If a graphic is used, it will be designed to fit in with the overall site design.

3. Client also agrees that the website developed for the Client may be presented in Agnieszka Kogus's portfolio.

Liability

Loss or damage caused by any inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;
Loss or damage to clients' artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of Agnieszka Kogus to the Client in respect of any claim whatsoever or breach of this Agreement.

Governing Law

1. The Agreement and these Conditions shall be governed by and construed in accordance with the law of England and Wales.
